Terms of Use

This Agreement is between you and Snaapi LLC only, and not with Apple Inc. ("Apple"). Snaapi LLC, not Apple, is solely responsible for the Licensed Application and its content. This Agreement may not conflict with the Apple Media Services Terms and Conditions.

Snaapi LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Application on any Apple-branded devices that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. You may not:

• Distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time.
• Transfer, redistribute, or sublicense the Licensed Application.
• Copy, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the Licensed Application.
• Modify, adapt, or create derivative works based on the Licensed Application.

If you sell or transfer your Apple device to a third party, you must remove the Licensed Application from the device before doing so.

Snaapi LLC is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this Agreement or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

The Licensed Application offers auto-renewable subscription plans ("pCarbs Pro") that unlock additional features including trend reports and data export. Subscription details:

• Monthly: $3.99/month
• Yearly: $39.99/year

Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You may manage and cancel your subscriptions by going to your Account Settings in the App Store after purchase.

You agree that Snaapi LLC may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support, and other services related to the Licensed Application. Snaapi LLC may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

The Licensed Application provides general nutritional tracking information for personal informational purposes only. It is not intended to be, and should not be used as, a substitute for professional medical advice, diagnosis, or treatment. Data displayed, including protein, carbohydrate, and caloric information, is not guaranteed to be accurate. Always consult a qualified healthcare provider before making dietary decisions.

The Licensed Application is provided "as is" without warranty of any kind, express or implied. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Snaapi LLC's sole responsibility.

You acknowledge that Snaapi LLC, not Apple, is responsible for addressing any claims you or any third party may have relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to:

1. Product liability claims;
2. Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement;
3. Claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application's use of HealthKit.

In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Snaapi LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

You represent and warrant that:

• You are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country;
• You are not listed on any U.S. Government list of prohibited or restricted parties.

You must comply with applicable third-party terms of agreement when using the Licensed Application, including your wireless data service agreement.

You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

This Agreement is effective until terminated by you or Snaapi LLC. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Licensed Application and destroy all copies in your possession.

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.
